Terms of Service — Infinioo

1. The Service

Infinioo is a networking and event-management platform that connects three types of users ("personas"):

• Personal — individuals managing a contacts CRM, digital cards (shared via link/QR code), interactions, and follow-up reminders.
• Organizer — users who create, configure, publish, and manage events, including ticket types, exhibitors, stands, floor plans, schedules, categories, and teams.
• Company — businesses managing a company profile, members, and stand/booth reservations for events.

The App also includes an AI assistant, "Ana", to help with event discovery and support.

2. Eligibility

You must be of legal age to form a binding contract in your jurisdiction (and at least the minimum age required by local law) to use the App. By using the App, you represent and warrant that you meet these requirements and that all information you provide is accurate and current.

3. Early Access and Registration

The App is currently offered on an early-access basis. Registration requires a valid early-access / registration code, which is validated when you sign up. We may add, revoke, or change codes and may limit or discontinue early access at any time. During early access, features may be incomplete, change, or be removed, and the Service may be less stable than a general-availability release.

4. Accounts and Security

You register with an email address and a password that must meet minimum strength requirements (at least 6 characters, including an uppercase letter, a number, and a special character). You are responsible for:

• Maintaining the confidentiality of your credentials.
• All activity that occurs under your account.
• Notifying us promptly of any unauthorized use.

You may hold one or more roles (personas) on a single account. We may suspend or terminate accounts that violate these Terms.

5. User Content and Responsibilities

The App lets you create, upload, and share content, including profiles, digital cards, contact records, logged interactions and notes, reminders, images (avatars, event covers, media), events, companies, floor plans, and messages ("User Content").

You retain ownership of your User Content. You grant Infinioo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely to operate and provide the Service (including sharing it with other users when you choose to, e.g., a publicly shared digital card).

You are solely responsible for your User Content and represent that:

• You have the rights necessary to submit and share it.
• It does not infringe third-party rights or violate any law.
• When you add another person's data (e.g., a contact you scan or enter), you have a lawful basis to collect and process their personal information, and you will comply with applicable data-protection laws.

You must not upload unlawful, infringing, defamatory, harmful, or misleading content, or content that violates the privacy of others.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful, fraudulent, or unauthorized purpose.
• Reverse engineer, decompile, scrape, or attempt to gain unauthorized access to the Service or its underlying systems (including our database, authentication, or serverless functions).
• Disrupt or overload the Service, or circumvent security or access controls.
• Send spam or unsolicited communications through the App.
• Misuse invitations, QR codes, deep links, or the AI assistant.

7. Events, Tickets, Stands, and Payments

Organizers.

When you publish an event, you may be required to select a paid plan based on the estimated number of participants. Payments are processed through supported methods (e.g., card and Pix, where available) as a one-time charge, and you are charged only after you confirm publication. Prices are shown in-app before you confirm. Organizers are responsible for the accuracy and legality of their events, ticket types, prices, sales periods, and stand/booth listings.

Companies.

Stand/booth reservations you submit are requests that must be confirmed by the relevant organizer; a request does not guarantee a reservation. Any commercial terms for stands (including price) are set and fulfilled between the organizer and the company.

Tickets and third-party transactions.

Infinioo provides tools for organizers to define and manage tickets and stands. Unless expressly stated otherwise, transactions relating to attendance, tickets, or stands are agreements between the organizer/company and the participant. Infinioo is not a party to those agreements and is not responsible for the underlying events, refunds, cancellations, or fulfillment, except as required by applicable law.

Taxes and refunds.

Except where required by law or expressly stated, fees are non-refundable. You are responsible for any applicable taxes related to your transactions.

8. AI Assistant ("Ana")

The App offers an AI assistant powered by a third-party model (Google Gemini). Messages you send to Ana and recent conversation context are processed to generate responses and help you discover events. AI outputs may be inaccurate, incomplete, or unsuitable for your purpose; you should not rely on them as professional advice, and you should verify important information. Do not enter sensitive personal information in the Ana chat.

9. Third-Party Services

The App relies on third-party providers (including Supabase for authentication, database, and serverless functions; ImageKit for image storage; Google Gemini for the AI assistant; Expo for push notifications; Google Maps for opening event locations; and country-flag image services). Your use of features that depend on these providers may also be subject to their terms. We are not responsible for third-party services we do not control.

10. Notifications

By using the App, you agree that we may send you push notifications and locally scheduled reminders. You can manage or disable notifications in your device settings.

11. Intellectual Property

The App, including its software, design, trademarks, logos, and content (excluding User Content), is owned by Infinioo / Ingenious Solutions Factory or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. No rights are granted except as expressly stated in these Terms.

12. Termination

You may stop using the App at any time and may delete your account from within the App. Deleting your account permanently removes your associated data (including your profile, digital cards, contacts, created companies, organized events, and related records), subject to any retention required by law. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability) will survive.

13. Disclaimers

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that content (including AI outputs and user-provided data) is accurate. This is especially relevant during early access. Some data (e.g., audio recordings) may be stored only locally on your device and may be lost if you uninstall the App or change devices.

14. Limitation of Liability

To the maximum extent permitted by law, Infinioo and Ingenious Solutions Factory will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from or related to your use of the App. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid to us in the twelve (12) months before the claim or the minimum amount required by applicable law.

15. Indemnification

You agree to indemnify and hold harmless Infinioo, Ingenious Solutions Factory, and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the App, your violation of these Terms, or your infringement of any third-party rights.

16. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the App at any time. We may also update these Terms; when we do, we will update the "Last updated" date and, where appropriate, notify you within the App. Your continued use after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Virginia, United States, without regard to conflict-of-laws rules. The courts of the State of Virginia will have exclusive jurisdiction over any disputes, except where mandatory consumer-protection laws provide otherwise.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.
